1) Overview
Welcome to CARVID. By creating an account, connecting your inventory or social accounts, or using our websites, apps, and services (collectively, the "Services"), you agree to these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree, do not use the Services.
These Terms apply to dealers, creators, agencies, and individual users. Some features may have additional terms, which become part of your agreement when you use them.
2) Accounts & Eligibility
- You must be at least 18 and able to form a binding contract.
- You are responsible for all activity under your account and for keeping credentials secure.
- When connecting inventory feeds (e.g., DMS/CRM) or social accounts, you authorize us to access and process data as needed to provide the Services.
3) Plans, Subscriptions & Billing
CARVID offers month‑to‑month plans that align with what's shown on our For Dealers page:
- Free – App listings, manual sharing tools, basic analytics.
- Blast (Manual) – Unlimited one‑click manual sharing with AI video, captions, hashtags, lead tracking.
- Auto Share – Fully automated multi‑platform posting with AI captions and local hashtags.
- Growth (Blogs + Dealer Page) – SEO blog posts + hosted dealer page under carvidapp.com/your‑store.
- Engage (Email) – Bi‑weekly email campaigns + bi‑weekly SEO blog posts.
- Pro Video (Bi‑weekly) – On‑site video production twice per month + editing and content strategy (availability varies by city; travel fees may apply).
Billing & Auto‑Renewal. Plans bill via secure third‑party processors (e.g., Stripe) and automatically renew monthly until canceled. You authorize recurring charges to your selected payment method.
Cancel Anytime. You can cancel effective at the end of your current billing period from your account or by contacting support. We do not provide refunds or credits for partial months, unused time, or downgrades.
Price Changes. We may change plan pricing or features prospectively; we'll notify you in advance when required by law.
Taxes. Prices exclude applicable taxes. You are responsible for any taxes, duties, or government charges.
Optional Lead‑Based Billing Add‑On (If Enabled)
If you opt into CARVID's performance add‑on, you agree to pay for verified results attributed by our tracking (Smart Links, in‑app messages, and reporting tools). Current rates, unless otherwise agreed in writing:
- $15 per qualified lead (user shares contact via message or tracked link).
- $40 per high‑intent lead (e.g., test drive scheduled or license submitted).
- $150 per confirmed car sale (as tracked in our reporting).
We issue weekly or monthly summaries depending on volume. Disputes must be submitted in writing within 5 business days of charge with relevant evidence; otherwise charges are deemed accepted. Because fees are performance‑based, refunds are not available for verified results.
This lead-based billing add-on governs fees between CARVID and participating dealerships only. It does not govern or relate to text messages sent to consumers, which are described in the SMS / Text Messaging Terms below.
4) SMS / Text Messaging Terms
Program name. CARVID Dealer Messaging, operated by CARVID on behalf of participating dealerships.
Program description. This is a conversational customer-care text messaging program. It allows customers to communicate with a dealership about vehicle inquiries, vehicle details and pricing, appointment scheduling, and appointment confirmations and reminders. Messages may be sent and answered using an automated (AI-assisted) system on behalf of the dealership the customer contacted. This program is not a promotional or mass-marketing blast.
How Consent Works
Customers consent to receive text messages in one or more of the following ways:
- By texting a dealership's phone number to begin a conversation (their inbound message constitutes consent to receive replies);
- By submitting their phone number on a dealer page or vehicle listing and checking a box agreeing to receive text messages from the dealership; or
- By scheduling an appointment with the dealership, after which they may receive confirmation and reminder messages related to that appointment.
Consent to receive text messages is not a condition of purchasing any vehicle or service.
Message Frequency & Rates
- Message frequency varies based on your interaction with the dealership.
- Message and data rates may apply. These charges come from your mobile carrier and are your responsibility.
Opt-Out and Help
- Reply STOP at any time to unsubscribe from text messages. After you reply STOP, you will receive one confirmation message and then no further texts unless you opt in again.

Privacy
Phone numbers and SMS consent are used only to facilitate communication between the customer and the dealership. They are never sold, and they are never shared with third parties or affiliates for their own marketing or promotional purposes. Carriers are not liable for delayed or undelivered messages. 5) Acceptable Use & Content
- Only real, lawful, and accurate vehicle listings. No misleading, fraudulent, or harmful activity.
- You represent and warrant you have rights to the content you upload or post through the Services.
- No spam, malware, scraping, reverse engineering, or attempts to degrade or bypass our security.
- Respect platform rules when posting to third‑party services (TikTok, Instagram, Facebook, YouTube, etc.).
License to CARVID. Solely to operate and improve the Services, you grant us a worldwide, non‑exclusive, royalty‑free license to host, process, reproduce, adapt, publish, display, and distribute your content, including generating promotional previews (e.g., thumbnails, AI captions) and posting to your connected accounts per your settings.
6) Privacy Policy
Information We Collect
- Account & Contact Data: name, email, phone, business details, support messages.
- Billing Data: payment method details processed by third parties (e.g., Stripe). We do not store full card numbers.
- Inventory & Media: vehicle data, photos, videos, captions, and analytics generated via the Services.
- Connected Services Data: limited data from DMS/CRM (e.g., HomeNet, Frazer) and social networks you link, as needed to provide features like auto‑posting and lead tracking.
- SMS Data: mobile phone numbers and message content when customers contact a dealership by text or consent to receive texts, used only to provide the messaging described in the SMS / Text Messaging Terms above.
- Usage & Device Data: cookies, IP address, device/browser, and events (via tools like Google Analytics/gtag) to maintain and improve the Services.
How We Use Information
- Provide, operate, and improve the Services (including AI captioning, posting, analytics, and lead tracking).
- Send and respond to text messages related to vehicle inquiries and appointments where the customer has consented.
- Process payments, detect fraud/abuse, and ensure service security.
- Send service notices and product updates; you may opt out of non‑essential marketing emails.
Sharing
- Service Providers: payment processors (e.g., Stripe), hosting, analytics, text-message delivery (Twilio), and support tools—only to operate the Services.
- Compliance & Safety: if required by law, regulation, or to protect rights, property, and safety.
- Business Transfers: as part of a merger, acquisition, or sale of assets; we will continue to protect your data.
Mobile phone numbers and SMS consent are never shared with third parties or affiliates for marketing purposes, and the advertising/analytics practices described in our Privacy Policy do not apply to phone numbers collected for text messaging.
Security, Retention & Your Choices
- We use reasonable administrative, technical, and physical safeguards appropriate to our Services.
- We retain data for as long as needed to provide the Services and comply with legal obligations.
- You may request access, correction, or deletion of your data by emailing info@carvidapp.com.
- Some features rely on cookies/analytics; you can adjust browser settings to limit them, which may affect functionality.
We do not sell your personal information. The Services are not directed to children under 18, and we do not knowingly collect personal data from them.
7) Termination; Disclaimers; Liability
- Suspension/Termination: We may suspend or terminate accounts for violations of these Terms or to protect the Service or others. You may cancel anytime as described in Section 3.
- Disclaimer: THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CARVID DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
- Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, CARVID AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT PAID BY YOU TO CARVID FOR THE SERVICES IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
- Indemnity: You agree to defend and indemnify CARVID from claims arising out of your content, your use of the Services, or your violation of these Terms.
8) Changes; Governing Law
Updates. We may modify these Terms or the Privacy Policy. We'll notify you of material changes via email or in‑app notice. If you continue to use the Services after changes become effective, you accept the updated terms.
Governing Law & Venue. These Terms are governed by the laws of the State of New York (without regard to conflicts of laws). Exclusive venue for any disputes will be state or federal courts located in New York, NY, unless applicable law requires otherwise.
